Terms of Service

These Terms of Service ("Terms") govern your use of the website bloomlabs.com.au (the "Site") ("Bloom Labs", "we", "us"), and set out the basis on which we may agree to provide services. By using the Site or engaging us, you agree to these Terms.

1. About us and our services

Bloom Labs provides senior Shopify engineering, sale-engineering and related consulting services to businesses. Our services are offered by application and are subject to capacity. Nothing on the Site is an offer capable of acceptance; it is an invitation to enquire.

2. Using the Site

You agree to use the Site lawfully and not to: interfere with or disrupt it; attempt to gain unauthorised access; scrape or harvest data other than as permitted; or use it to transmit malware or unlawful content. See our Acceptable Use terms.

3. Enquiries, applications and no guarantee of engagement

Submitting an enquiry, application or interest form does not create a contract or guarantee that we will provide services to you. We may decline or prioritise applications at our discretion, including due to capacity limits.

4. How engagements are formed

Any services we provide are governed by a separate written agreement (for example, a proposal, statement of work or master services agreement) that sets out scope, deliverables, fees, timelines, intellectual property, warranties, liability and termination. If there is any inconsistency between that agreement and these Terms, that agreement prevails for the services.

5. Fees and payment

Fees, deposits and payment terms are as stated in your engagement agreement. Unless stated otherwise, fees are in Australian dollars and [GST STATUS]. Our Refund & Payments Policy applies.

6. Intellectual property

Site content

All content on the Site (text, design, graphics, logos, code) is owned by or licensed to Bloom Labs and protected by law. You may not copy, reproduce or reuse it without our permission, except as permitted by law.

Work product

Ownership of deliverables and any licences to pre-existing or background IP are set out in your engagement agreement. Absent such an agreement, no rights in our work or materials transfer to you.

7. Third-party platforms and links

Our services involve third-party platforms (e.g. Shopify and its apps). We are not responsible for those platforms' availability, terms, changes or acts. The Site may link to third-party sites we do not control; we are not responsible for their content.

8. Consumer guarantees (Australian Consumer Law)

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other law that cannot be lawfully excluded. Where our services are of a kind ordinarily acquired for personal, domestic or household use, or otherwise where the ACL applies, you have guarantees that we cannot exclude. To the extent we are permitted to limit our liability, our liability for failure to comply with a guarantee is limited, at our option, to re-supplying the services or paying the cost of having them re-supplied.

9. Disclaimers and limitation of liability

The Site is provided "as is". To the maximum extent permitted by law, and subject to clause 8:

  • we make no warranties that the Site will be uninterrupted, error-free or secure;
  • we are not liable for any indirect, incidental, special or consequential loss, or loss of profits, revenue, data, goodwill or anticipated savings;
  • our total aggregate liability arising out of or in connection with the Site (and, where applicable and unless a separate agreement provides otherwise, the services) is limited to AUD $[e.g. 100] or the fees you paid us in the 12 months before the claim, whichever is greater. Marketing results, revenue outcomes and performance figures referenced anywhere are illustrative and not guaranteed (see our Disclaimer).

10. Indemnity

You agree to indemnify us against loss or liability arising from your breach of these Terms or your unlawful use of the Site, except to the extent caused by our own negligence or breach.

11. Suspension and termination

We may suspend or restrict access to the Site at any time. Engagement termination is governed by your engagement agreement.

12. Privacy

We handle personal information in accordance with our Privacy Policy.

13. Governing law

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
